These Terms of Service ("Terms") govern your access to and use of toolbotusa.com (the "Site") and any communication or sign-up service we provide through it. By using the Site you agree to these Terms. If you don't agree, please don't use the Site.

1. Acceptance of these terms

By accessing or using the Site, you confirm that you are at least 18 years old (or the age of majority where you live) and that you have the legal capacity to enter into this agreement. If you're using the Site on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Use of the website

The Site is provided as an informational and pre-launch marketing resource. You agree to:

  • Use the Site only for lawful purposes and in accordance with these Terms.
  • Not attempt to interfere with, disable, or compromise the Site's security or operation.
  • Not use automated tools (bots, scrapers, harvesters) to extract data from the Site beyond what's permitted by our robots.txt file.
  • Not impersonate Toolbot, any Toolbot employee, or another person when contacting us.

3. Intellectual property

The Site and its content — including the Toolbot name, the Toolbot mark, the wordmark, product names ("Toolbot 360," "Toolbot Festool Adapter," "Toolbot Hole Dust Extractor," etc.), the visual design, all original artwork, photography, copy, and the underlying compilation — are owned by Toolbot USA or its licensors and are protected by U.S. and international intellectual property laws.

You may view the Site and link to public Site pages. You may not republish, modify, scrape, or commercially exploit Site content without our prior written permission.

Toolbot's product designs, internal interface architecture, vacuum-port geometry, mount-plate architecture, CAD files, STEP files, dimensioned drawings, toolpaths, and related engineering documentation are proprietary and confidential. They are not published, licensed, or made available to the public. Reverse-engineering Toolbot products to derive these specifications is prohibited.

4. Email sign-ups and notifications

When you sign up to be notified about a launch or a specific product, you authorize us to send you transactional and marketing email related to Toolbot products, pricing, and engineering updates. You can unsubscribe at any time using the unsubscribe link in any email we send (once a provider is wired up) or by emailing info@toolbotusa.com.

We do not promise a specific launch date. Roadmap items, pricing, and product availability are subject to change without notice. See the disclaimer below.

5. Third-party trademarks

The Site may reference third-party tools (Festool®, Ridgid®, Metabo HPT®, DeWalt®, Makita®, etc.) for compatibility reasons. We are not affiliated with, endorsed by, or sponsored by any of these companies. All trademarks remain the property of their respective owners. Compatibility statements are made on a best-effort basis and do not constitute warranties.

If we link to or embed any third-party service on the Site, your use of that service is governed by the third party's own terms and privacy policy.

6. Disclaimers and pre-launch status

Toolbot is in pre-launch. Products described on the Site are in active design or limited production. Specifications, compatibility, materials, pricing, and ship dates are provisional and may change before any product is offered for sale.

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND — EXPRESS, IMPLIED, OR STATUTORY — INCLUDING (WITHOUT LIMITATION) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF INFORMATION. TOOLBOT DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

OSHA Table 1 capture statements describe how Toolbot products are engineered against the standard when paired with a HEPA-rated vacuum. Achieving and documenting compliance on a particular jobsite remains the responsibility of the user.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLBOT, ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions don't allow these limitations, so they may not apply to you in full.

8. Indemnification

You agree to defend, indemnify, and hold harmless Toolbot from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) your misuse of the Site, or (c) your violation of any law or third-party right in connection with your use of the Site.

9. Termination

We may suspend or terminate your access to the Site at any time, for any reason, including violation of these Terms. The sections that by their nature should survive termination — including IP, disclaimers, liability limits, indemnification, and governing law — survive.

10. Governing law and disputes

These Terms are governed by the laws of the United States and the state in which Toolbot USA is registered, without regard to conflict-of-law principles. Any dispute arising out of these Terms or your use of the Site will be brought exclusively in the state or federal courts located in that state, and you consent to personal jurisdiction there.

11. Changes to these terms

We may update these Terms as the business evolves — adding e-commerce, payments, shipping terms, etc. The "Last updated" date at the top of this page reflects the most recent change. Material changes affecting active subscribers will be communicated by email before they take effect. Continued use of the Site after changes means you accept the updated Terms.
